Terms of Service

These Terms of Service ("Terms") govern your access to and use of the sdpworks.com platform and related services (the "Service") provided by SDP Works ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
sdpworks.com is an Electronic Visit Verification platform designed for California Department of Developmental Services (DDS) providers. The Service enables caregivers to record visit verification data and facilitates submission to the Sandata CalEVV Aggregator in compliance with the 21st Century Cures Act.
2. Eligibility and Accounts
- The Service is available to authorized provider organizations and their designated employees.
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately of any unauthorized use of your account.
- One person or organization may not maintain more than one account without prior authorization.
3. Acceptable Use
You agree to use the Service only for its intended purpose and in compliance with all applicable laws and regulations. You shall not:
- Submit false or fraudulent visit verification data.
- Attempt to access data belonging to other provider organizations.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to transmit malicious code or interfere with its operation.
- Share account credentials with unauthorized individuals.
- Use the Service in any manner that violates HIPAA or other applicable healthcare regulations.
4. Data Accuracy and Compliance
Provider organizations are responsible for the accuracy of all data entered into the Service, including visit records, client information, and employee records. You acknowledge that inaccurate EVV data may result in claim rejections by the Sandata CalEVV Aggregator and potential compliance consequences with California DDS.
5. Subscription and Payment
Access to the Service requires a paid subscription. Pricing, billing cycles, and payment terms are established at the time of enrollment. We reserve the right to modify pricing with 30 days' written notice. Failure to maintain payment may result in suspension or termination of access.
6. Intellectual Property
The Service, including its software, design, and documentation, is the property of SDP Works and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
7. Data Ownership
You retain ownership of all data you submit to the Service. We do not claim ownership of your visit records, client data, or organizational information. Upon termination, we will make your data available for export for a reasonable period, subject to legal retention requirements.
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. The offline-capable mobile application is designed to continue recording visit data during connectivity interruptions.
9. Limitation of Liability
To the maximum extent permitted by law, SDP Works shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim. This limitation does not apply to liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless SDP Works from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
11. Termination
- Either party may terminate the subscription with 30 days' written notice.
- We may suspend or terminate access immediately for violation of these Terms or applicable law.
- Upon termination, your right to access the Service ceases. Data export provisions in Section 7 apply.
12. Modifications to Terms
We may update these Terms from time to time. We will provide notice of material changes at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in California.
